1. Introduction

Welcome to Ascent Epoxy®, a registered trademark with the United States Patent and Trademark Office (USPTO), and a website and service operated by Digital Ascent Solutions LLC, doing business as Ascent Epoxy ("Company," "we," "us," "our"). By accessing or utilizing our website ("Site") and services ("Services"), you ("User," "you," "your") agree to comply with and be bound by these Terms of Service ("Agreement"). If you do not agree to this Agreement, you are prohibited from accessing the Site or using our Services.

2. Scope of Services and Relationship with Local Contractors

Ascent Epoxy is a licensor, it licenses its brand name to exclusive local contractors ("Authorized Contractors") who are authorized to offer these services under the Ascent Epoxy name. While we only work with reputable Authorized Contractors, Ascent Epoxy is not responsible for the services provided by the Authorized Contractors. All services are subject to availability and the explicit acceptance of your order or request by the Authorized Contractor. We reserve the right to refuse or cancel any order or request at our sole discretion without liability.

3. User Accounts and Data Privacy

Your privacy is of utmost importance to us. We adhere to stringent data protection protocols and do not disclose your personal data to third parties without your explicit consent, except as mandated by law or to fulfill our service obligations. 4. User Conduct and Obligations

You are obligated to use our Site and Services in compliance with all applicable laws and regulations. Any misuse, including but not limited to fraudulent activities, harassment, or other unlawful behavior, may result in immediate termination of your access to our Services and may subject you to legal penalties.

6. Payment, Refunds, and Cancellations

Payment terms, as well as refund and cancellation policies, are determined by the Authorized Contractor with whom you contract. Ascent Epoxy disclaims any liability for transactions or disputes between you and the Authorized Contractor.

7. Dispute Resolution

In the event of a dispute, you agree to first attempt resolution with the Authorized Contractor. Failing that, you consent to binding arbitration in Florida, under the laws of the State of Florida, unless otherwise prohibited by law.

8. Amendments to the Agreement

We reserve the right to amend this Agreement at our sole discretion. Amendments will become effective immediately upon posting on the Site. Your continued use of the Site or Services constitutes your acceptance of the amended Agreement.

9. Termination and Consequences

We reserve the right to terminate your access to our Services for any reason, including but not limited to violations of this Agreement, at our sole discretion without notice or liability. Upon termination, all pending transactions may be canceled and your user data may be deleted in accordance with our Privacy Policy.

10. Disclaimers and Limitation of Liability

The Services are provided "as is" and "as available," without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. In no event shall the Company be liable for any damages, whether direct, indirect, incidental, or consequential, arising out of your use or inability to use our Services.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

12. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.

13. Indemnification

You agree to indemnify and hold harmless Ascent Epoxy, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including legal fees and costs, arising out of or in any way connected with your access to or use of the Site and Services.

14. Force Majeure

Ascent Epoxy shall not be liable for any failure to perform its obligations under this Agreement if such failure results from any cause beyond Ascent Epoxy's reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.

15. Entire Agreement

This Agreement constitutes the entire agreement between you and Ascent Epoxy and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

16. Waiver

No waiver of any provision of this Agreement by Ascent Epoxy shall be deemed a further or continuing waiver of such provision or any other provision, and Ascent Epoxy's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
